Terms of Service

Company Name: Jobbids, Inc.
These Terms and Conditions (“Terms”) govern your access to and use of https://thejobbids.com (the “Platform”), owned and operated by Jobbids, Inc., a Wyoming limited liability company (“Company,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
1. ELIGIBILITY
You must be at least 18 years old and legally capable of forming binding contracts under applicable United States law.
By using the Platform, you represent and warrant that:
* You have full legal authority to agree to these Terms
* You are not barred from using the Platform under any applicable law
* All registration information provided is accurate and truthful
2. NATURE OF THE PLATFORM
The Platform is a neutral online marketplace that connects independent Clients and independent Service Providers.
The Company:
* Is not a party to agreements between users
* Does not control or supervise services performed
* Is not an employer, agent, joint venturer, or partner of any user
* Does not guarantee quality, legality, or completion of services
All transactions and contractual obligations exist solely between the Client and the Service Provider.
3. ESCROW PAYMENT SYSTEM
3.1 Escrow Process
Payments for projects must be funded in advance by the Client into the Platform’s escrow system.
Funds will be:
* Held securely until project milestones or completion
* Released upon Client approval
* Released following dispute resolution procedures if applicable
3.2 Escrow Authorization
By using escrow, both parties irrevocably authorize the Company to:
* Hold funds in a non-interest-bearing escrow account
* Release funds according to Platform rules
* Issue refunds or adjustments as determined through dispute review
3.3 Escrow Limitation
The Company is not a bank and does not provide banking services. Escrow services may be provided through third-party financial institutions.
We are not liable for acts, errors, insolvency, or delays of third-party payment processors.
4. PLATFORM COMMISSION
The Company charges a 5% commission on the total project amount.
* The commission is deducted automatically upon release of escrow funds.
* Commission fees are non-refundable once services are rendered.
* Attempting to bypass the Platform to avoid the 5% commission is strictly prohibited.
Circumventing the Platform may result in:
* Immediate account termination
* Forfeiture of funds
* Permanent suspension
5. INDEPENDENT CONTRACTOR STATUS
Service Providers are independent contractors.
Nothing in these Terms creates:
* Employment
* Partnership
* Joint venture
* Agency relationship
Service Providers are solely responsible for:
* Federal and state taxes
* Licenses and permits
* Insurance
* Compliance with U.S. laws
6. USER CONDUCT
Users agree not to:
* Violate federal, state, or local laws
* Infringe intellectual property rights
* Submit fraudulent chargebacks
* Harass, threaten, or defraud users
* Upload malicious software
* Attempt to reverse-engineer the Platform
We reserve sole discretion to remove content or terminate accounts.
7. DISPUTE RESOLUTION BETWEEN USERS
Users are encouraged to resolve disputes directly.
If necessary, the Company may review disputes involving escrow funds. Our decision regarding escrow release shall be final and binding within the Platform’s internal process.
The Company is not obligated to investigate every dispute.
8. INTELLECTUAL PROPERTY
All Platform materials, including trademarks, software, design, branding, and content, are the exclusive property of the Company and protected under U.S. copyright and trademark law.
Unauthorized use is strictly prohibited.
9. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING:
* MERCHANTABILITY
* FITNESS FOR A PARTICULAR PURPOSE
* NON-INFRINGEMENT
* UNINTERRUPTED OR ERROR-FREE OPERATION
We do not guarantee that services provided by users will meet expectations.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
* THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
* WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
* OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID TO THE COMPANY BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THIS LIMITATION APPLIES EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF DAMAGES.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Company, its owners, officers, members, and affiliates from any claims, liabilities, damages, losses, and expenses arising from:
* Your use of the Platform
* Your violation of these Terms
* Your violation of any law
* Your infringement of third-party rights
12. MANDATORY ARBITRATION & CLASS ACTION WAIVER
12.1 Binding Arbitration
Any dispute arising out of these Terms shall be resolved exclusively through binding arbitration under the Federal Arbitration Act.
Arbitration shall take place in the State of Wyoming.
12.2 Class Action Waiver
You agree to resolve disputes on an individual basis only.
You waive any right to:
* Participate in class actions
* Participate in class arbitration
* Bring claims as a representative plaintiff
13. TERMINATION
We may suspend or terminate your account at any time, with or without notice, for:
* Violations of these Terms
* Fraudulent activity
* Risk to the Platform
Termination may result in forfeiture of pending funds if violations are confirmed.
14. GOVERNING LAW
These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles, and applicable federal laws of the United States.
15. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
